Fidelity Bank Ghana Limited has scheduled a virtual Extraordinary General Meeting for Monday, October 26, 2026, at 11:00 a.m. GMT to seek shareholder approval for an Initial Public Offering (IPO) and a proposed listing on the Ghana Stock Exchange (GSE).
According to a notice signed by the Company Secretary, Akosua Apea Osafo, the meeting will be held via Microsoft Teams. Shareholders will consider several ordinary and special resolutions, including a proposal to authorise the Board of Directors to undertake the IPO and list the bank's ordinary shares on the Main Market of the Ghana Stock Exchange.
The special resolutions include authorising the Board to determine the terms of the IPO, including the offer price, number of shares, allotment and other modalities. Shareholders will also be asked to approve and adopt an IPO-compliant Constitution to replace the company's existing constitution.
Additionally, the bank is seeking approval to transfer GH¢36 million from its stated capital and undertake a bonus issue of up to 732,250,000 ordinary shares, to be credited as fully paid, to existing shareholders in proportion to their existing shareholdings.
The notice also seeks a waiver of pre-emption rights and rights of first refusal under any shareholders' agreement to which shareholders may be entitled in respect of shares to be issued by the company and the sale of issued shares by existing shareholders under the IPO.
Under the ordinary resolutions, the Board is seeking authorisation to establish a directors' reward scheme under which 1,100,000 ordinary shares, valued at approximately GH¢11,000,000, will be granted for a token sum to the existing directors in recognition of their contribution to the bank's growth and value creation.
The Board is also seeking approval for an employee share ownership plan under which 2,600,000 ordinary shares, valued at approximately GH¢26,000,000, will be granted for a token sum to qualifying employees with ten or more years of service. Additionally, up to 1.5 per cent of the bank's post-IPO equity will be reserved for allotment to eligible employees at a discounted price.
